ARTICLE 1 – PURPOSE
The purpose of these General Terms and Conditions of Sale and Rental (hereinafter the «GTC») is to define the terms under which VENDOLA BALLAY SAS, the operator of the establishment THE VILLAS BAY, offers vacation rentals located at Allée Leroux, 97126 Deshaies, Guadeloupe.
These Terms and Conditions apply to all reservations made directly with LA BAIE DES VILLAS, including:
- on the website labaiedesvillas.com ;
- by phone; ;
- by email; ;
- or through any other booking method directly accepted by LA BAIE DES VILLAS.
In particular, they govern the terms and conditions regarding reservations, payment, cancellations, stays, use of accommodations, and check-out.
Any reservation implies full and unconditional acceptance of these Terms and Conditions.
ARTICLE 2 – ACCOMMODATIONS
LA BAIE DES VILLAS offers 11 vacation rentals.

Apartment with 3 bedrooms and 2 bathrooms.
2.3 Apartments – 2nd Floor

La Soufrière
Apartment with 3 bedrooms and 2 bathrooms.
The Pearl
Apartment with 3 bedrooms and 2 bathrooms.
The amenities, services, occupancy capacity, and features of each accommodation are listed on the website at the time of booking.
ARTICLE 3 – INTENDED USE OF THE ACCOMMODATIONS
The accommodations are intended exclusively for temporary and tourist use.
Under no circumstances may they serve as the tenant's primary residence or domicile.
The tenant agrees not to engage in any professional, commercial, craft, or freelance activity on the premises without the prior written authorization of SAS VENDOLA BALLAY.
Any subletting or transfer of the reservation to a third party is prohibited without the prior written consent of LA BAIE DES VILLAS.
ARTICLE 4 – RESERVATION TERMS AND CONDITIONS
All reservations are made in a specific person's name and must be made by an adult with the legal capacity to enter into a contract.
The customer must provide accurate and complete information necessary to process their reservation, including:
- first and last name; ;
- email address; ;
- phone number; ;
- dates of the stay; ;
- number of people; ;
- information required for payment.
The customer is responsible for the accuracy of the information provided.
A reservation is not final until:
- acceptance of these Terms and Conditions; ;
- confirmation of the reservation; ;
- payment of the requested amount or full payment, according to the terms displayed at the time of booking; ;
- receipt of the reservation confirmation sent by LA BAIE DES VILLAS.
The reservation confirmation serves as the contractual summary of the services reserved.
ARTICLE 5 – ONLINE RESERVATIONS
When a reservation is made online, the customer selects the accommodation, the dates, and any available options.
Before final confirmation, the customer can review and correct the information entered.
The customer must read and accept these Terms and Conditions before finalizing the reservation.
Final confirmation of the reservation constitutes an obligation to pay in accordance with the terms and conditions specified at the time of booking.
A confirmation email is sent to the customer after the reservation is confirmed.
The customer must keep this email and all contractual documents related to their stay.
ARTICLE 6 – PRICES
Prices are listed in euros.
The applicable price is the one displayed at the time of booking and confirmed in the summary sent to the customer.
Unless otherwise specified at the time of booking, the price includes the services expressly mentioned in the accommodation description.
The following, in particular, may be billed separately when applicable:
- the tourist tax; ;
- certain additional services or options; ;
- any costs associated with specific requests from the customer; ;
- costs resulting from damage or additional services made necessary by the customer's conduct.
Rates may vary depending on the season, dates, type of accommodations selected, length of stay, and applicable rate conditions.
LA BAIE DES VILLAS may not unilaterally change the rate applicable to a reservation that has already been confirmed.
ARTICLE 7 – VISITOR'S TAX
The visitor's tax is levied in accordance with the applicable laws and the rates set by the relevant local authority.
When payable by the customer, this fee is billed in addition to the accommodation price, in accordance with the terms specified at the time of booking.
The amount of the tourist tax may depend, among other things, on the number of people, the number of nights stayed, and the category of the lodging.
Certain individuals may be eligible for an exemption in accordance with applicable regulations.
The customer agrees to provide the information necessary for calculating and collecting the tourist tax.
ARTICLE 8 – PAYMENT TERMS
Payment can be made using the methods offered at the time of booking.
LA BAIE DES VILLAS accepts, among other things:
- credit cards via Stripe ;
- PayPal ;
- any other payment method that may be offered at the time of booking.
Credit card payments are processed by Stripe.
Payments made through PayPal are processed by PayPal in accordance with its own terms of use.
LA BAIE DES VILLAS does not have access to the full credit card information provided at the time of payment.
Payment is considered to have been made when the funds have actually been received or when the payment provider has confirmed the transaction.
In the event of a declined, canceled, or missing payment, the reservation may be considered unconfirmed or canceled after the customer has been notified.
ARTICLE 9 – DEPOSIT AND BALANCE
To confirm the reservation, the customer must pay A deposit equal to 50 % of the total cost of the trip, excluding any additional fees or services.
Payment of this deposit confirms your reservation for the selected accommodations and dates.
In accordance with the provisions governing deposits, in the event of a cancellation initiated by the customer, the deposit paid is retained by LA BAIE DES VILLAS and is non-refundable.
The balance of 50 1Q3Q The total cost of the stay must be paid no later than 14 days before the scheduled arrival date.
If the reservation is made less than 14 days before the arrival date, the total amount for the stay is due immediately at the time of booking.
If the balance is not paid by the specified deadline, LA BAIE DES VILLAS may consider the reservation canceled by the customer. In this case, the deposit of 50 % will be retained by LA BAIE DES VILLAS, without prejudice to any additional amounts that may be due where applicable conditions permit.
The specific payment terms and due dates are outlined in the reservation confirmation.
ARTICLE 10 – SECURITY DEPOSIT
A security deposit is required for stays at LA BAIE DES VILLAS. It consists of exclusively in the form of a bank preauthorization, paid by credit card, in accordance with the terms and conditions provided to the customer prior to arrival.
The amount of the security deposit depends on the type of lodging booked:
- 900 € for the four villas: Villa Acomat, Villa Sofaïa, Villa Karukera, and Villa Matouba; ;
- 900 € for the three large apartments: Le Clugny, La Soufrière, and La Perle; ;
- 300 € for the four one-bedroom apartments: Ti Punch, Ti Anse, Ti Dousè, and Ti Amo.
A bank preauthorization is not neither a payment nor a receipt of the security deposit. Its sole purpose is to guarantee payment of any amounts that may be owed by the customer in the event of damage, deterioration, or failure to comply with these Terms and Conditions.
No amount is charged at the time the preauthorization is processed.
The pre-authorization is held for as long as necessary to guarantee the reservation and may remain in effect until after the guest’s departure, while the accommodation is being inspected.
The warranty may cover, among other things:
- damage to the premises; ;
- damage to furniture or equipment; ;
- the loss or damage of items provided; ;
- unusually high cleaning costs; ;
- the loss of keys, access cards, remote controls, or other means of access; ;
- costs resulting from a breach of these Terms and Conditions.
In the event of damage or an outstanding balance owed by the customer, LA BAIE DES VILLAS may charge all or part of the amount necessary to cover the actual loss incurred, up to the limit of the preauthorized amount.
The customer will be informed, to the extent possible, of the nature and amount of the charges.
If the amount of the loss exceeds the pre-authorized amount, LA BAIE DES VILLAS may require the customer to pay the additional amount corresponding to the loss actually incurred.
Provided there is no damage or outstanding balance, The pre-authorization hold will be released after the guest checks out and after the accommodations have been inspected., depending on the processing times applicable to the customer's bank and the payment service provider.
The customer acknowledges that the time it takes for the preauthorization to be released may depend on the customer’s bank and is not directly controlled by LA BAIE DES VILLAS.
ARTICLE 11 – CANCELLATION BY THE CUSTOMER
All cancellation requests must be submitted in writing to:

Cancellation more than 14 days before the arrival date
In the event of cancellation by the customer more than 14 days before the scheduled arrival date, the The 50 % deposit paid at the time of reservation is retained by LA BAIE DES VILLAS and is non-refundable.
The balance, if it has not yet been paid, is not due.
If the balance has already been paid, it will be refunded to the customer, subject to any non-refundable transaction fees.
Cancellation 14 days or less before the arrival date
In the event of cancellation by the customer 14 days or less before the scheduled arrival date, No refunds will be issued.
This provision applies to the amount of the deposit as well as to the balance, if it has already been paid.
Consequently, if the cancellation occurs 14 days or fewer before arrival, the full amount of the reservation remains due.
Client Absence
In the event of a no-show, no refund will be issued, and the full amount for the stay will remain due.
Special Cases
The above cancellation terms apply regardless of the reason for the customer’s cancellation, including in the event of transportation issues, flight delays or cancellations, personal issues, illness, or any other impediment, subject to applicable mandatory legal provisions.
Customers are invited to purchase, if they wish, a trip cancellation and/or interruption insurance covering, in particular, the risks associated with his trip.
For business reasons and at the sole discretion of LA BAIE DES VILLAS, a refund, credit, or rescheduling of the stay may be offered on an exceptional basis. Such a measure does not constitute an acquired right for the customer and does not alter these general terms and conditions.
When the cancellation is attributable to LA BAIE DES VILLAS, the amounts paid by the customer for services not provided will be refunded in accordance with applicable legal provisions.
ARTICLE 12 – CUSTOMER’S FAILURE TO APPEAR OR «NO-SHOW»
If the customer fails to arrive on the scheduled date without prior cancellation, the reservation is considered a «no-show.».
Payments made may be retained in accordance with the rate and cancellation terms applicable to the reservation.
No refund may be claimed solely on the grounds that the customer did not use all or part of the reserved period.
ARTICLE 13 – CHANGES TO A RESERVATION
Any request for a change relating, in particular, to:
- the dates; ;
- lodging; ;
- the number of people; ;
- the length of the stay; ;
must be submitted to LA BAIE DES VILLAS in writing.
Any changes are subject to availability and approval by LA BAIE DES VILLAS.
A change may result in a price change.
If a change is not possible, the customer may be asked to cancel their reservation in accordance with the applicable cancellation policy and make a new reservation.
ARTICLE 14 – CANCELLATION OR MODIFICATION BY LA BAIE DES VILLAS
In the event that it is exceptionally impossible to provide the reserved accommodations—particularly due to a disaster, a safety issue, unavailability resulting from an external event, or any other legitimate reason—LA BAIE DES VILLAS will notify the customer as soon as possible.
LA BAIE DES VILLAS will, whenever possible, offer:
- equivalent accommodations; ;
- a change in dates agreed upon by both parties; ;
- or cancellation of the reservation with a refund of the amounts paid for services not provided.
No additional compensation shall be due when the inability to perform results from an event of force majeure or an external circumstance that could not reasonably have been avoided.
ARTICLE 15 – LENGTH OF STAY
The stay is valid for the period specified in the reservation confirmation.
The guest may not remain on the premises beyond the scheduled departure date without the prior consent of LA BAIE DES VILLAS.
Any extension is subject to availability and requires payment in advance.
ARTICLE 16 – ARRIVAL AND DEPARTURE
Check-in and check-out times are provided to the guest before their stay or in the practical information related to their reservation.
The customer agrees to adhere to the schedules provided.
Any early arrival or late departure must be agreed upon in advance.
In the event of an unauthorized late departure, additional charges may be billed when justified by operational constraints or necessary additional services.
ARTICLE 17 – OCCUPANCY OF ACCOMMODATIONS
The number of people staying in the lodging may not exceed its stated maximum capacity.
The guest agrees to provide the exact number of people staying at the accommodation.
Any additional guests must be approved in advance by LA BAIE DES VILLAS.
Access to the lodging facility may be denied if the actual number of occupants exceeds the authorized capacity and this situation cannot be rectified.
No refund will be due if the customer is unable to occupy the accommodations as normal because they have exceeded the maximum permitted capacity through their own fault.
ARTICLE 18 – CONDUCT AND PEACE AND QUIET ON THE PREMISES
The customer agrees to use the hosting service in a peaceful and respectful manner.
The following, in particular, are prohibited:
- excessive noise pollution; ;
- unauthorized parties or events; ;
- behavior that may disturb the peace of other occupants; ;
- any illegal activity; ;
- any activity that could damage the premises or endanger people's safety.
The guest is responsible for the behavior of the people they host in the accommodation.
In the event of seriously disruptive or dangerous behavior, LA BAIE DES VILLAS may ask the guest and the individuals involved to leave the premises, without prejudice to any damages it may be entitled to claim.
ARTICLE 19 – HOLIDAYS AND EVENTS
Organizing parties, receptions, private gatherings, business events, or gatherings that exceed the normal use of the accommodations is prohibited without prior written authorization.
The presence of guests not included in the reservation must be consistent with the establishment’s capacity and rules of use.
LA BAIE DES VILLAS reserves the right to terminate a guest's stay in the event of an unauthorized activity that causes significant disturbances or poses a risk to people or property.
ARTICLE 20 – ANIMALS
Pets are allowed in the accommodations under certain conditions.
The presence of one or more animals must be indicated and reported at the time of booking.
The acceptance of pets may be subject to certain conditions, including their number, size, or type, as well as any additional fees indicated at the time of booking.
The pet owner remains fully responsible for the pet throughout the entire stay and for any damage, destruction, soiling, or nuisance caused by the pet.
Pets must not be left unattended in accommodations if doing so is likely to cause damage or a nuisance.
The guest agrees to comply with any specific rules regarding pets that may be communicated by LA BAIE DES VILLAS.
ARTICLE 21 – TOBACCO
Customers are allowed to smoke inside the homes, provided that you respect the premises and the people on the premises.

Customers must take care not to cause any smoke-related nuisances and must use the ashtrays or other designated facilities when they are provided.
Any damage, lingering odor, burn marks, deterioration, or cleaning required as a result of the customer's behavior may be billed to the customer.
ARTICLE 22 – SWIMMING POOLS
If the accommodation has a private pool, the guest agrees to follow the safety and usage rules provided on site.
The communal pool is available according to the terms and hours that may be posted on site.
Supervision of children is the sole responsibility of their guardians.
Children should never be left unattended near or in a swimming pool.
The customer must follow the safety guidelines, particularly those regarding the use of equipment, dangerous behavior, and hygiene rules.
ARTICLE 23 – USE OF EQUIPMENT
The customer agrees to use the equipment made available to them in a normal manner.
Any use of the equipment that is improper, dangerous, or contrary to its intended purpose is prohibited.
The customer must promptly report any malfunction or issue observed so that the problem can be resolved as quickly as possible.
No refund may be claimed for the temporary unavailability of equipment when such unavailability results from an unforeseeable malfunction and LA BAIE DES VILLAS takes reasonable steps to repair or replace it.
ARTICLE 24 – INTERNET AND WI-FI
When Wi-Fi is available, it is provided as a complimentary service.
The customer agrees to use the Internet connection in accordance with applicable laws and regulations.
In particular, the user is prohibited from using the connection to:
- illegally downloading or making available copyrighted works; ;
- view, distribute, or download content prohibited by law; ;
- harm third-party computer systems; ;
- commit any offense.
LA BAIE DES VILLAS does not guarantee that the Internet connection will be available at all times.
ARTICLE 25 – KEYS, BADGES, AND MEANS OF ACCESS
Keys, key cards, remote controls, access codes, or other means of access provided to the customer remain the property of LA BAIE DES VILLAS.
They must be returned in accordance with the instructions provided before departure.
Any loss, damage, or failure to return items may result in charges for the actual costs incurred to replace them or to restore the premises to a safe condition.
ARTICLE 26 – MAINTENANCE AND CLEANING
The accommodation is handed over to the guest in a clean and ready-to-use condition.
The guest must keep the premises reasonably clean during their stay.
In particular, he commits to:
- use the equipment properly; ;
- respect the facilities; ;
- Place trash in the designated areas; ;
- prevent any damage.
The cleaning services included in the price are those listed at the time of booking.
Any cleaning required due to an unusually high level of dirt or improper use may be billed to the customer.
ARTICLE 27 – DAMAGE AND DESTRUCTION
The guest is responsible for any damage caused during his or her stay to the premises, furniture, equipment, facilities, and items made available to him or her.
He must immediately report any damage he notices or that he has accidentally caused.
Damage attributable to the customer may be billed based on the reasonable cost of repair or replacement.
The guest is also liable for any damage caused by people accompanying him or her or whom he or she invites onto the premises.
This liability cannot be limited solely to the amount of the security deposit.
ARTICLE 28 – LOST ITEMS
Items left behind in accommodations are held for a reasonable period of time.
Customers may contact LA BAIE DES VILLAS to arrange for the return of their items.
Shipping costs are the responsibility of the customer.
LA BAIE DES VILLAS cannot be held liable for the loss or damage of any item left behind after checkout if it has not been reported or claimed within a reasonable period of time.
ARTICLE 29 – TENANT'S LIABILITY
The guest is responsible for his or her use of the lodging and its facilities throughout the entire stay.
He must take all necessary precautions to ensure the safety of people and property.
In particular, the customer is responsible for any consequences resulting from improper use of the equipment or failure to follow safety instructions.
ARTICLE 30 – LIABILITY OF LA BAIE DES VILLAS
LA BAIE DES VILLAS takes reasonable measures to ensure that the guest’s stay meets the specifications of the reserved accommodation.
The Company shall not be held liable when the nonperformance or improper performance of a service results from:
- due to the customer; ;
- due to an unforeseeable and insurmountable event caused by a third party; ;
- a case of force majeure; ;
- a failure or interruption of a service provided by a third party; ;
- an external event beyond his control.
LA BAIE DES VILLAS shall not be held liable for damages resulting from the loss, theft, or damage to personal belongings left unattended in the accommodations or common areas, unless it can be proven that LA BAIE DES VILLAS was at fault.
ARTICLE 31 – FORCE MAJEURE
Neither party shall be held liable for any breach resulting from a force majeure event as defined in Article 1218 of the Civil Code.
Subject to meeting the legal requirements for force majeure, this may include, among other things, exceptional natural events, natural disasters, cyclones, hurricanes, earthquakes, fires, floods, major civil unrest, administrative decisions, or public health events that objectively prevent the performance of the contract.
Force majeure is assessed in accordance with applicable legal provisions.
ARTICLE 32 – RIGHT OF WITHDRAWAL
In accordance with the provisions of the Consumer Code, the 14-day right of withdrawal applicable to certain distance contracts does not apply to contracts for non-residential lodging services when the service is to be provided on a specific date or during a specific period.
Consequently, the customer does not have a general 14-day right of withdrawal for an accommodation reservation made with LA BAIE DES VILLAS.
The applicable cancellation terms are those set forth in Article 11 of these Terms and Conditions and in the reservation confirmation.
ARTICLE 33 – COMPLAINTS
Any complaints regarding your stay should be directed first to LA BAIE DES VILLAS as soon as possible to ensure a prompt resolution of the issue.

If any provision of these Terms and Conditions is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
The parties shall endeavor to replace the provision in question with a valid provision that produces an economic and legal effect as close as possible to that originally intended.
ARTICLE 39 – LANGUAGE OF THE CONTRACT
These Terms and Conditions are written in French.
When translations are provided on the website, they are for informational purposes only.
In the event of a discrepancy between the French version and a translated version, the French version shall prevail.
